Understanding the Downstream Forge Rewards Program

Earn points on eligible spend, unlock tier benefits, and redeem rewards through your company’s Downstream account.

Introduction:
The Downstream Forge Rewards Program (“Forge”) is a company-level loyalty program designed to reward eligible businesses for qualifying transactions completed through Downstream Marketplace. Through Forge, participating companies may earn points on eligible spend, redeem points for approved rewards, and unlock tier-based benefits based on account activity. This article provides an overview of how Forge works, who is eligible, how points are earned, and what companies should know about tiers, expiration, and account standing.

1. Program Overview

Forge is a loyalty and rewards program offered by Downstream Marketplace for eligible company accounts.

Through Forge, participating companies may:

  • earn Forge Points on qualifying transactions
  • redeem points for approved rewards
  • qualify for tier-based benefits based on eligible spend and account activity

Forge is intended for commercial use only and is not a consumer rewards program.

Participation in Forge is subject to these program terms, along with Downstream’s general Terms of Service and Privacy Policy.

2. Company-Level Participation

Forge is managed at the company account level, not the individual user level.

This means:

  • all users associated with the same company account may contribute to point accumulation
  • tier qualification is based on company-level activity
  • annual or rolling spend thresholds apply to the company account
  • points, rewards, and tier status belong to the company, not to any individual user

If a user leaves a company or loses access to the account, any associated Forge Points and tier benefits remain with the company account.

3. Eligibility Requirements

To participate in Forge, a company must:

  • maintain an active Downstream account
  • remain in good standing
  • comply with applicable Downstream agreements
  • have no unresolved fraud, abuse, or payment violations
  • maintain valid billing and payment information

Downstream reserves the right to approve, deny, suspend, limit, or terminate participation in the program as permitted by law.

4. How Forge Points Are Earned

a. Eligible Transactions

Points may be earned on qualifying orders, rentals, invoices, promotions, and other eligible activities designated by Downstream.

Eligible categories may include:

  • equipment rentals
  • roll-off dumpsters
  • portable sanitation
  • site services
  • storage
  • temporary fencing
  • fuel services
  • other marketplace services

Not all transactions are eligible to earn points.

b. Points Are Awarded After Invoice Payment

Points displayed during checkout or order placement are estimates only.

Forge Points become fully earned and redeemable only after:

  • an eligible invoice has been fully paid
  • payment has been successfully processed and confirmed by Downstream

Invoices that are unpaid, partially paid, disputed, refunded, reversed, charged back, or identified as fraudulent may not qualify for points.

5. Estimated Points

You may see estimated points in checkout, dashboards, emails, reports, or promotional materials.

Estimated points:

  • are for reference only
  • have no cash value
  • are not redeemable
  • may change before final award
  • are not guaranteed until invoice payment is complete

6. Promotions and Bonus Opportunities

From time to time, Downstream may offer special point-earning opportunities through Forge.

These may include:

  • bonus point promotions
  • multiplier campaigns
  • limited-time earning offers
  • tier accelerators
  • referral bonuses
  • seasonal promotions
  • category incentives
  • account-specific offers

Promotions may vary by customer, category, timing, or account eligibility.

7. Forge Tiers

Forge includes tier-based status levels determined by rolling 12-month paid invoice spend.

Current tiers may include:

  • Apprentice
  • Journeyman
  • Craftsman
  • Forgemaster

Tier thresholds, benefits, earning rates, qualification periods, and eligibility requirements may change over time.

8. Point Expiration

Forge Points expire after twelve (12) consecutive months without qualifying account activity.

Qualifying activity may include:

  • placing an eligible order
  • earning points from a paid invoice
  • redeeming points

If there is no qualifying activity during that period, accumulated points may expire.

9. Redeeming Points

Forge Points may be redeemed for rewards approved by Downstream.

Available redemption options may include:

  • account credits
  • marketplace discounts
  • promotional rewards
  • partner offers
  • merchandise
  • experiences
  • other designated rewards

Points:

  • have no cash surrender value
  • are non-transferable, except where required by law
  • may only be redeemed in accordance with active program rules

10. Adjustments and Account Standing

Downstream may adjust point balances or rewards when necessary.

This may include:

  • reversing improperly awarded points
  • correcting calculation errors
  • removing promotional bonuses
  • canceling rewards
  • suspending participation in cases of fraud, abuse, duplicate transactions, chargebacks, refunds, or misuse of the platform

To remain eligible for Forge, companies must stay in good financial and operational standing.

11. Program Changes and Termination

Downstream may modify, suspend, or terminate Forge at any time.

This may include changes to:

  • earning rates
  • redemption values
  • tier structures
  • promotions
  • benefits
  • eligibility requirements
  • point balances or participation status

Participation in Forge may also be suspended or terminated if an account no longer meets program requirements.

12. Privacy and Data Usage

Participation in Forge may require the collection and use of:

  • transaction data
  • spend history
  • redemption activity
  • account usage information

This information may be used to operate, improve, and administer the Forge program in accordance with Downstream’s Privacy Policy.

Forge is provided on an “as available” and “as-is” basis without guarantees of uninterrupted availability.

Forge Points are promotional loyalty rewards only and are not property, financial instruments, or stored value products.

These program terms are governed by the laws of the State of California, without regard to conflict of law principles.

If any provision is found invalid or unenforceable, the remaining provisions will continue in effect.

These Forge terms, together with Downstream’s Terms of Service and Privacy Policy, form the full agreement regarding participation in the program.
